Job Detail:

Job Description / Responsibility

Handling of all the issues related to Board Secretariat & Share Department of the Group;
Ensure that the company complies with its governing documents, companies act and any other relevant legislation.
Convene Board and related meetings in compliance with governance documents, Companies Act and other relevant regulations.
Liaison with the members of the Board of Directors to ensure their presence in Board and related meetings.
Consolidate agendas and prepare minutes of Board and related meetings and communicate accordingly.
Manage the events of AGM & EGM successfully and meaningfully.
Coordinate with other departments for preparations of Board papers and circulate to the members of the Board of Directors.
Develop strategy to ensure that the company complies with all applicable codes and its legal and statutory requirements.
Manage the corporate affairs of the company in line with rules and regulation of BSEC, DSE, CSE.
Implement the code of corporate governance in the company as per direction of regulatory bodies.
Ensure timely submission of all returns as per rules.
Prepare reports for the management as required from time to time
Manage share related functions.
Manage functions related to Capital Issue- IPO, Right Share and Bond.
Maintaining of Statutory Register Book as per the requirement of regulatory bodies;
Proceedings of records of meetings and maintain the Minutes Books;
Submission of report on charge creation, satisfaction of charge with RJSC;
Handling the jobs related to Board of Investment (BOI);
Acting as custodian in trust, Statutory Registers, Common Seal, Blank Share Certificates, Refund Warrants, Dividend Warrants including original agreements/documents;
Sending of Annual Report and half yearly Financial Statement to the regulatory bodies and shareholders;
Arranging to publish quarterly Financial Statement in the Daily News Paper within time limit;
Arrangement audit of accounts and prepare accounts as per Company Act, IAS & ISA.
